创始人掌握企业控制权路径探讨——以万科控制权争夺案为例

Discussions on the Tactics for the Founder to Control the Rights of Enterprise——Taking the Contending against Controlling the Rights of Enterprise of Vanke Company as an Example

资本交替使企业的大股东常常变动,但企业控制权不一定掌握在大股东手中。出于企业持续平稳发展的目的,控制权往往由企业创始人掌握。“万科控制权争夺案”使得企业和相关利害关系人利益受损,为避免类似事件频发带来不利影响,方便企业按照创始人的思路独立自主地发展,就要保护创始人对企业的控制权。为此,掌握股东控制权是最根本的方法,若达不到这一点,则可以通过章程特别约定及掌控社会资源的方法获得更多表决权来控制企业,还可以通过制度设计控制董事会的席位及企业的经营权来控制企业。

Through different capitals alternation makes the controlling shareholder change frequently,controlling the rights of enterprise is not entirely grasped by the substantial shareholder.For the business purpose of enterprise development,controlling the rights of enterprise is usual firmly grasped by the founder.The occurrence of“the contending against controlling the rights of enterprise of Vanke company”has damaged the interests of enterprises and relevant parties,in order to avoid the adverse enterprises and other relevant interested parties such similar events,so as to let the enterprise independently develop according to the ideas of the founder,it’s important to protect the founder to control the rights of enterprise,the author suggests that the enterprise improves the mechanism of the protection of the rights and interests of the founder from controlling shareholders,the board of directors and company management,such as specifically agreed term of the articles of association,entrusting voting,controlling social capital resources and taking consistent actions,summarizing more voting rights to control the enterprise;and through designing reasonable system to control the seats of directors of the board of directors and investors do not directly hold the shares,the limited partnership holding the equity of the company,the founder as a general partner controls the management of the partnership,so as to achieve the purpose of controlling the company.
