为促进市场经济的持续发展,我国在2013年进行了资本制度的改革,由原本的实缴制修改为全面认缴制,降低市场准入门槛。但与此同时债权人利益的保护遭遇新的困境,认缴制下债权人利益的保护具有必要性,如何设计保护债权人利益的有效机制值得关注。对认缴制度中出资期限畸长的情形下如何保护债权人利益进行探讨,并提出相应的保护机制,为市场经济的发展保驾护航。

In order to promote the sustainable development of the market economy,China carried out a reform of the capital system in 2013,changing the original actual payment system to a full subscription system to reduce the market entry threshold.But at the same time,the protection of the interests of creditors is facing a new dilemma.It is necessary to protect the interests of creditors under the subscription system.How to design effective mechanisms for protecting the interests of creditors deserves attention.Discuss how to protect the interests of creditors in the case of abnormally long investment terms in the subscription system,and proposes corresponding protection mechanisms to escort the development of the market economy.
