组织学习、董事会治理与技术并购创新绩效

Organizational Learning,Board Governance and Innovation Performance of Technology Mergers and Acquisitions

随着全球并购规模的不断扩大,越来越多的企业试图通过组织学习来提升其并购的创新绩效。基于沪深两市A股市场2008—2015年上市公司发生的技术并购事件,运用回归分析方法,检验了组织学习、董事会治理对创新绩效的影响,以及董事会治理在组织学习与创新绩效之间关系中的调节作用。研究发现,组织学习、董事会治理对技术并购后的创新绩效有积极的正向影响作用,董事会治理在组织学习与创新绩效之间存在正向调节作用。

With the continuous expansion of global M & As scale,more and more enterprises try to improve the innovation performance of M&As through organizational learning.Based on the technology mergers and acquisitions of Listed Companies in Shanghai and Shenzhen A-share markets from 2008 to 2015,this paper makes a regression analysis to examine the impact of organizational learning and board governance on innovation performance,as well as the moderating role of board of directors in the relationship between organizational learning and innovation performance.The research finds that organizational learning and board governance have a positive impact on innovation performance of technology mergers and acquisitions,and board governance has a positive moderating effect on the relationship between organizational learning and innovation performance.
