国有大型建筑企业董事会建设及治理效能提升探索--基于SD集团的实证研究

Exploration on Construction of Board and Improvement of Governance Efficiency in Large State-owned Construction Enterprises—An Empirical Research Based on SD Group

董事会作为建立现代企业制度中完善企业治理结构的核心,对企业的正常运转、改革发展发挥着重要作用,所以如何提升董事会治理效能,解决当前存在的问题,是我国国有企业面临的关键问题。对此,以SD集团为例,着重审视了集团董事会,特别是各隶属子公司董事会建设发展中的问题,并基于此提出了提升治理效率的意见建议。

As the core of improving the corporate governance structure in the establishment of modern enterprise system,the board of directors plays an important role in the normal operation and reform and development of enterprises.Therefore,how to improve the governance efficiency of the board of directors and solve the existing problems are the key problems facing the state-owned enterprises in China.In this regard,taking SD group as an example,emphatically examines the problems in the construction and development of the group's board of directors,especially the board of directors in its subsidiaries,and puts forward suggestions on improving the governance efficiency based on this.
