摘要
随着近几年的土地价格攀升,为做大规模的同时降低自有资金投入,房地产企业一般都选择合作开发房地产项目,因此也不可避免地产生了项目公司控制权问题。论文从财务角度,阐述了控制权转移对公司利润的影响,并针对某些“零对价”控制权转移提示了可能因不具有合理的商业实质,存在被质疑的风险。
In recent years,due to the rising of land price,in order to do large-scale and reduce the investment of own funds,real estate enterprises generally choose cooperative development of real estate projects.Therefore,problems of the control right of the project company inevitably arises.From the financial point of view,this paper expounds the impact of the transfer of control right on the company's profits,and points out that there may be a risk of being questioned due to the lack of reasonable commercial essence for some"zero consideration"transfer of control right.
