摘要
作为现代物流业发展的主流模式——第三方物流(TPL),可提供系列化一体化服务,其显著特征即物流服务关系的合同化。第三方物流合同作为一种新型合同,主体相对较为多元、内容广泛性和复杂性、关系性契约而非个别性契约为其特点。现行法推演出第三方物流合同的性质是具有混合合同特征的无名合同。从实证法角度、系统论角度和交易成本理论角度出发都能推断出第三方物流合同有名化具有必然性和正当性,当下应该制定《第三方物流合同示范规则》这种“软法”,以满足物流业飞速发展的客观需要。
As the mainstream development mode of modern logistics industry——the third party logistics(TPL),which provides the integrated service function in a comprehensive series,makes logistics service relationship contracted.As a new type of contract,the characteristics of TPL contract is that the main body of the contract is relatively diverse,the content is extensive and complex,and the relationship contract rather than the individual contract.The current law deduces that the nature of TPL contract is a nameless contract with the characteristics of mixed contract.From the perspective of positive law,system theory and transaction cost theory,we all infer the inevitability and legitimacy of TPL contract nominalization.At least,the“Soft Regulation”of“Model Rules of TPL Contract”should be formulated at present in order to meet the objective needs of the logistics industry rapid development.
