发挥外部董事在铁路系统公司制改革中作用的几点思考

Thoughts on the Role Exertion of Outside Directors in the Reform of Railway Corporation System

加快推进股份制改造是国铁集团贯彻落实党中央、国务院重大决策部署的具体表现,是国铁集团统筹集团改革发展内外部需求,加强集团公司本级和二级集团公司顶层设计的系统性工程。回顾董事会和外部董事制度的形成,对比已有大型央企改革成功经验和教训,结合工作实际探讨铁路系统二级企业董事会建设中应关注的外部董事的产生、作用发挥、考核激励、发展思路等问题,结合个人理解提出解决这些矛盾的建议,以期为推进国铁集团和二级集团公司股份制改造提供借鉴。

Accelerating the shareholding system transformation of China State Railway Group is the implementation of major decisions and deploy-ments made by the Central Committee of the Communist Party of China and the State Council.It is also a systematic project of the Group to coordi-nate the reform and development of internal and external demands,and to strengthen the top-level design of the group and the second-level group.This paper is based on the formation and comparison of the board of directors system and the successful experience and lessons of the existing reform of large central enterprises.It puts forward some problems that should be paid attention to in the construction of the board of directors of second-lev-el enterprises in railway system,such as the generation,role exertion,assessment and incentive,and development thinking.Combined with personal understanding,this paper also puts forward some suggestions to solve these contradictions,which can be used for reference to promote the sharehold-ing system transformation of China Railway Group and second-level group companies.
