摘要
囿于部门法学的话语体系,传统理论对“黄金降落伞”等上市公司反收购措施的规制方法多见于证券商事领域,鲜有劳动法理论的回应。然而其作为名义上的“离职经济补偿”,需要接受《劳动合同法》经济补偿金和法定解除条件等有关条款的检视以保持法秩序的协调一致。研究表明,“黄金降落伞”同经济补偿金仅具有形式和功能上的相近性,劳动法无法从规范上直接实现对“黄金降落伞”等反收购条款的规制,但能以所蕴含的社会整体利益和社群主义精神,间接推动“黄金降落伞”条款设置的合理化。
Limited by the discourse system of law department,the traditional regulation methods of anti-acquisition measures of listed companies,such as“Golden Parachute”,are mostly found in the field of securities and commercial affairs,with few responses from labor law theories.However,as a nominally“job severance payment”,it needs to accept the labor Contract Law severance payment,legal termination conditions and other relevant provisions to maintain the coordination of legal order.Study shows that the“Golden Parachute”only have similar form and function with job severance payment,labor law can not directly regulate the“Golden Parachute”as Anti-takeover provisions,but to the interests of the whole society and community spirit,indirectly promote the rationalization of“Golden Parachute”clause set.
