专利实施许可合同履行不能时被许可人的法定救济路径研究——以《民法典》的适用为视角

Study of Statutory Remedies for Patent Licensees in Case of Impossibility of Performance of Patent Licensing Contracts—From the Perspective of Application of the Civil Code

专利实施许可合同通常具有很强的技术性,这是其区别于其他诸如买卖合同、租赁合同等典型合同的重要特征。尽管有区别,专利实施许可合同本质上仍然是合同,同样可能遭遇履行障碍,一旦发生,在法律上就应当有相应的应对措施或手段。但是,也正是由于专利实施许可合同区别于其他合同的特点,导致其履行不能的情形具有一定的特殊性,尤其容易造成对被许可人权益的损害,因此有必要以其所特有的履行不能情形作为研究对象,以《民法典》下具体法律规则的适用为视角,逐一探寻和检视被许可人可以采取的法定救济路径。

Patent licensing contracts are usually highly technical,which is an important feature that distinguishes them from other typical contracts such as sales contracts and lease contracts.Despite the difference,patent licensing contracts are still contracts in nature and may also encounter impediments in performance,and in the event of such an occurrence taking place,there should be corresponding measures or means in law.However,it is precisely because of the characteristics of patent licensing contracts that are different from other contracts,there are certain particularities in the circumstances of impediments in performance of patent licensing contracts.The rights and interests of the licensees are highly likely to be damaged.Therefore,it is necessary to take the specific circumstances of impossibility of performance of patent licensing contracts as the study object,to explore and examine the statutory remedies available to the licensees one by one from the perspective of the application of the specific legal rules of the Civil Code.
