国际海底区域内矿产资源开发中承包者的机密信息保护研究

Research on Contractor’s Confidential Information Protection on Exploitation of Mineral Resources in the International Seabed Area

在《“区域”内矿产资源开发规章草案》的制定及评论过程中,承包者机密信息的认定问题受到了政府和学术界的广泛关注。在现有文献基础上,以《“区域”内矿产资源开发规章草案》为研究对象,综合运用比较研究、实证研究等方法构建了机密信息的定义及保护标准。结果发现:①承包者的机密信息是指任何经过权利人采取保密措施的对企业有价值的信息,一旦以不受控制的方式向第三方披露,将会失去其商业价值。②机密信息的构成要件包括秘密性、价值性和保密性。③国际海底管理局建立机密信息管理制度的目标是:在实现确保有足够的数据和资料可用于“区域”资源勘探和开发活动的同时,确保承包者数据和资料的机密性。④承包者机密信息的保护期限,应当与开发合同的期限一样长。⑤国际海底管理局在解密承包者的机密信息之前,应当通知承包者。

In the Draft Regulations on Exploitation of Mineral Resources in the Area,the contractor's confidential information was received widespread attention.Based on the previous literature,taking the Draft regulations as the research object,comprehensive using of comparative research,historical survey and other methods to build the definition and protection standards of confidential information.The results showed that:①Confidential information refered to any information of the enterprise that has been valued by the right holder for confidentiality.Once disclosed to a third party in an uncontrolled manner,it would lose its commercial value.②The constituent elements of confidential information included secrecy,value,and confidentiality.③The important goal of the confidential information management system was to ensure the confidentiality of data and information submitted by contractors while ensuring that there were sufficient data and information available for activities in the Area.④The term of protection of confidential information should be as long as the duration of the exploitation contract.⑤Before decrypting confidential information,the Authority should notify the contractor.
