In November 2018,China Securities Regulatory Commission issued the news of directional convertible bonds in support of the development of listed companies.It laid the foundation for the application of convertible bonds in mergers and acquisitions.The application of the directional convertible bond could enrich the means of merger and reorganization.By analyzing the successful cases and the key points of supervision,this paper puts forward some countermeasures and suggestions for listed companies to utilize directional convertible bonds in merger and reorganization.
