摘要
法院实践对商品房买卖“双合同”中“装修合同”效力认定不一,并呈现对当事人交易安排加以更多规制的倾向。在合同有效语境之下,装修造价差额返还纠纷较为常见且所涉复杂。合同程序正义应是差价返还裁判考量的重要因素。对于违约金基数及承担主体的司法认定,则以遵循合同真意为原则。商事仲裁作为注重合同自治和行业习惯的争议解决方式,对于否定合同效力、认定法律责任持更为审慎态度。
The people’s courts hold different views on the validity of the renovation contract in the arrangement of doublecontract for commodity house sales.To some extent,challenging the party autonomy has become a trend for the judgements.Under the condition that the renovation contract is held to be valid,the disputes over returning the difference of renovation costs is more common and involve complex factors.For this kind of dispute,the parties’equality of contracting status and autonomy of will shall be a significant factor in judicial review.To decide the base of the liquidated damages and the obligor,the people’s courts follow the true intent of the parties in determining what the contract actually means.Commercial arbitral tribunal generally takes a more cautious attitude towards invalidating the renovation contract and deciding the liability for breach of contract,for the reason that commercial arbitration lays emphasis on party autonomy and industry custom and practice.
