摘要
随着近代公司治理理念的发展、清末新政营造的相对适宜的商业环境以及《公司律》提供的法律条件,汉冶萍公司初步确立了一个具有现代分权与制衡特征的公司法人治理结构,并经历了中断、调整、日方势力渗入、终结的变迁历程。研究结果表明:汉冶萍公司治理主体的宗族裙带色彩浓厚、董事会董事和经理人员频繁更换使治理结构极不稳定、股东大会作用有限、监事会流于形式、对日巨额借款使公司治理结构受损甚至形同虚设等,导致汉冶萍公司治理成果有限,但为现代企业完善公司治理结构提供了历史借鉴与启示。
Due to the development of modern corporate governance ideas,the relatively suitable business environment created by the new deal in the late Qing Dynasty and the legal conditions provided by the company law,Hanyeping company initially established a corporate governance structure with modern decentralization and checks and balances,and experienced the transition process of interruption,adjustment,infiltration and termination of Japanese forces.The research results show that:Hanyeping company's governance subject has strong clan skirt color,the frequent replacement of board directors and managers makes the governance structure extremely unstable,the role of the shareholders'meeting is limited,and the board of supervisors flows into the form,the huge loan to Japan causes the corporate governance structure to be damaged or even nominal,which makes Hanyeping company's governance achievements limited,but improves the corporate governance for modern enterprises The structure and historical enlightenment are provided.
