摘要
对家族企业的内涵进行界定,从有利于家族企业权力传承的市场预期出发,提出市场预期作为权力传承中具有前置效应的假说,分析由此带来的传承文化、社会资本、交易信任以及要素成本等方面的变化。着重围绕在任者与承接人感知的相容性、内外情感与双重利益的交织性、面向未来与产权结构的一致性、契约精神与执行意识的重要性等主体认知展开讨论。以家族企业的目标函数的确立为导向,设计出家族企业权力传承的一般方案,即“桥”的方案,在位者与承接者通过新的团队组建实施,来对权力传承全过程效果进行耦合、检验与校正,从而达到与市场预期、企业目标相契合的实践场景。
This paper defines the connotation of family business,puts forward the hypothesis that market expectation has a pre-effect in power inheritance from the perspective of market expectation beneficial to the power inheritance of family business,and also analyses the changes in inheritance culture,social capital,transaction trust and factor cost brought about by this hypothesis.The discussion focuses on subject cognition such as the compatibility of the perception of incumbents and successors,the intertwining of internal and external emotions and dual interests,the consistency of future-orientation and property rights structure,the importance of contract spirit and execution consciousness,etc..Guided by the establishment of the objective function of family business,this paper designs a general scheme of power inheritance,namely“bridge”scheme:the new team formation,incumbents and successors,inspection and correct of the effect of the whole process on power inheritance,so as to achieve a practical scenario consistent with market expectations and business goals.
