家族企业治理是一个全球性问题,家族与企业联结给企业发展带来了优势,但同时家族企业亦暴露出公司发展和公司治理上的困境,如融资筹措困境、股东压迫行为、关联交易现象密集等。问题的产生源于股权高度集中和缺乏有效的监督机制。因此,家族应采取类别股股权结构,优化企业的监事制度并完善独立董事制度。

Corporate governance in family businesses is a global problem.The connection between family and businesses brings advantages to business development,but also leads to some difficulties in corporate development and corporate governance,such as difficulties in financing,shareholder oppression,more related transactions,and others,most of which arise from the high equity concentration and the lack of effective supervision mechanism.Therefore,it is suggested that family businesses should adopt the system of class of shares,optimize the supervisor system and improve the independent director system.
