推进国有企业依法治理和合规管理的路径选择

Path Selection of Promoting the Legal Governance and Compliance Management of State-owned Enterprise

自党的十八届四中全会以来,国务院国资委先后出台了《关于全面推进法治央企建设的意见》和《中央企业合规管理指引(试行)》,以依法治企、合规管理两条路径为抓手,为实现国有企业治理体系和治理能力现代化建设指明了方向。本文以《意见》和《指引》所提出的各项号召为重点,结合笔者从事企业法务管理工作的经验,从国企全员思想意识建设、明晰依法治企和合规管理"四位一体"责任、狠抓重点工作、加强组织保障四个方面,分析和论述对推进国有企业依法治企和合规管理工作的具体措施,并提出实现国有企业治理体系和治理能力现代化的可行路径。

Since the Fourth Plenary Session of the 18th Central Committee of the Communist Party of China,the State-owned Assets Supervision and Administration Commission of the State Council has successively issued the“Opinions on Comprehensively Promoting the Construction of State-owned Enterprises Ruled by Law”and the“Guidelines for the Compliance Management of Central State-owned Enterprises(for Trial Implementation)”.By two ways of managing the enterprise according to law and compliance management,it points out the direction for realizing the modernization of the governance system and governance capacity of state-owned enterprises.Focusing on the various requirements put forward in the“Opinions”and the“Guidelines”,and combining with the author’s experience in corporate legal management,this paper analyzes and discusses the specific measures to promote the legal governance and compliance management of state-owned enterprises from the following four aspects:constructing ideological awareness of all staffs,clearing the“four in one”responsibility of corporate governance according to the law and compliance management,paying close attention to key tasks,and strengthening organizational guarantees,and proposes a feasible path to modernize the governance system and governance capacity of state-owned enterprises.
