外资并购中驰名商标的流失与对策

外商投资对于我国经济发展具有重要的推动作用。随着我国企业保护自身驰名商标意识的不断提升,外资并购引起我国驰名商标流失的情形已经有所好转。但是,这种情形仍然没有彻底消失,而是在并购协议履行阶段,以新的方式影响我国企业、相关产业安全以及消费者的利益。为有效防止企业驰名商标的流失,企业自身采取行动具有重要意义。同时,我国立法也应当明确外资并购中对于作为民族品牌的驰名商标的保护态度,从而达到在保护外国投资者和外商投资企业知识产权利益的同时,兼顾保护我国企业的知识产权的目的。

Foreign investment plays an important role in promoting my country’s economic development.With the continuous improvement of Chinese enterprises’awareness of protecting their own well-known trademarks,the situation of the loss of my country’s well-known trademarks caused by foreign mergers and acquisitions has improved.However,this situation has not completely disappeared,but at the stage of implementation of the merger agreement,it will affect the interests of Chinese enterprises,related industries,and consumers in a new way.In order to effectively prevent the loss of well-known trademarks of enterprises,it is important for enterprises to take actions on their own.At the same time,Chinese legislation should also clarify the protection attitudes towards well-known trademarks as national brands in foreign mergers and acquisitions,so as to protect the intellectual property rights of foreign investors and foreign-invested enterprises while protecting the intellectual property rights of Chinese enterprises.
