摘要
民营企业经营权保障性法律规范缺位,单纯政策性保障存在先天局限性,使民营企业经营权的实现面临困境。民营企业虽属非公有制经济,但不妨碍其一般性民事保障的获取。经营是主客观相结合的产物,应在既有财产法保障外寻求人格权保护路径:通过民营企业经营自主权、经营安宁权完成对经营行为自由的积极与消极法律表达。并且,要注意保持民营企业社会责任的谦抑,妥善处理民营企业经营权与企业社会责任之间的辩证关系。
Considering the absence of legal norms and the congenital limitation of policy guarantees, the realization of private enterprises’ management rights are facing difficulties. Although private enterprises belong to the non-public economy, they do not impede the acquisition of general civil security. Theoretically, management is a product of subjective and objective combination. The protection paths of personal rights outside the guarantee of the existing property laws should be sought in a way that the positive and negative legal expression of the freedom of management behavior be realized by private enterprise management autonomy and uninterrupted management rights. Furthermore, additional attention should be paid to ensure the tolerance of social responsibilities of private enterprises, while the dialectical relationship between the management rights of private enterprises and the social responsibilities of enterprises should be handled appropriately.
