甘肃省域合资铁路公司重组探析

合资铁路是铁路投资体制改革的重要突破,合资铁路的建设和运营对路网的布局和运输能力都有很大改善。通过分析甘肃省域合资铁路公司规模偏小且数量众多、盈余能力较差且运营存在亏损和资本金比例较低且债务负担较重等现状,从有利于理顺铁路和地方投资关系、增强整体抗风险能力和提高整体经营效益等方面,分析重组整合的优势,提出甘肃省域合资铁路公司重组实现途径,即:加强沟通交流,形成重组共识,明确重组方式,明晰重组内容,确定省域公司架构,明确公司管理体制,改善经营管理方式,做好债权债务处置,签订重组协议,做好风险防控,促进合资铁路持续健康发展。

Joint venture railway is a breakthrough in railway investment system reform and its construction and operation have greatly improved the layout and transportation capacity of railway network.According to the existing circumstances of joint venture railway companies in Gansu,such as small scale and large quantity,poor earning capacity and operating loss,low capital ratio and heavy debt burden,etc.,this paper analyzes the strength of reorganization and integration from the aspects of straightening out the relationship between railway and local investment,elevating the overall anti-risk ability and improving the overall operating efficiency,and finally proposes the way to realize the reorganization of joint venture railway companies in Gansu,which includes achieving a consensus on reorganization through strengthening communication,clarifying the way and content of reorganization,determining the structure and management system of provincial companies,improving the operation and management methods,well-handling creditor’s rights and debts,signing the reorganization agreement,ensuring risk prevention and control,so as to promote the sustainable and healthy development of the joint venture railway.
