Normative Research about Legal Organizational Structure of the Company

《公司法》设计了股东(大)会、董事会(执行董事)、经理、监事会(组织机构监事)等核心公司组织机构和法定代表人、董事会秘书、清算组织等补强公司组织机构两种类型法定公司组织机构。根据公司组织机构理论上的五种分类法,核心公司组织机构、补强公司组织机构各有其自身的属性和地位。与此相适应,股东(大)会国家法需要从属性和地位两个方面改进、董事会国家法从地位方面改进、建议取消法定代表人国家法设计、国家法延长监事任期。

The Company Law has designed two types of legal organizational structure of the company :one is the core type which inclueds shareholders’ (big) meeting,board of directors (executive director),manager and board of Supervisors (Supervisor of organizational structure),and the other is the reinforcement type which includes legal representative,secretary of the board of directors and liquidation organization.According to the five classifications theory of corporate organizational structure,core corporate organizational structure and reinforcement corporate organizational structure have their own attributes and status.Accordingly,shareholder (big) meeting rules in the national law needs to be improved from two aspects of attribute and status,board of directors rule in it needs to be improved from the aspect of status,legal representatives rules should be abolished and the tenure of supervisors should be extended.
