《商业银行法(修改建议稿)》对于商业银行的公司治理单独成章是本次修改中的一大亮点,其对于公司治理的规定从整体来看有突出董事会核心作用、增设了股东义务与股东禁止行为、突出董事专业化、独立性和专门委员会、薪酬和激励机制的设立等特点。2020年10月16日,人民银行向社会公布了《中华人民共和国商业银行法(修改建议稿)》(以下简称《修改建议稿》)。
