海南自由贸易港投资制度集成创新研究

Research on the Integration of Investment System of Hainan Free Trade Port

制度集成创新在海南自由贸易港投资领域发展的过程中起着重要作用。中共中央、国务院发布《海南自由贸易港建设总体方案》以来,海南自由贸易港已经初步形成了涵盖市场准入、投资自由、公平竞争、产权保护等领域的投资制度集成。当前,应当尽快在禁止业绩要求、并购领域反垄断、投资者与投资东道国纠纷解决等领域补齐制度短板。未来,海南自由贸易港应对标国际高水平的投资协议,进一步扩大对外开放的广度和深度,在探索金融开放、鼓励新的商业模式、允许股份有限公司发行优先股、主动对接RCEP成员国对外投资等领域预留充足的政策空间,持续推动海南自由贸易港投资制度集成的发展和完善。

Integrated innovation plays an important role in the development of the Hainan Free Trade Port investment system.Since Central Committee of CCP issued Overall Plan for the Construction of Hainan Free Trade Port in June 2020,Hainan Free Trade Port has initially formed an investment system integration covering areas such as market access system,investment freedom system,fair competition system,and property rights protection system.At present,the weaknesses of the system should be complemented as soon as possible in areas such as the prohibition of performance requirements,anti-monopoly in the area of mergers and acquisitions,and dispute resolution between investors and the investment host country.In the future,Hainan Free Trade Port should catch up with international high-level investment agreements,further expand the breath and depth of its opening to the outside world.It should also explore financial opening,encourage new business models,allow joint stock limited companies to issue preferred shares,and actively solicit RCEP member countries'foreign investment.Sufficient policy space should be reserved in all these fields to continually promote the development and improvement of the integration of Hainan Free Trade Port investment system integration.
