摘要
目前我国大陆地区已有十二家仲裁机构对合并仲裁进行了规定,也有较多司法实践。但在国家立法层面未对合并仲裁进行相关规定,各仲裁规则之间对合并仲裁的规定存在较大差异,例如关键概念尚未明确、相关程序尚不完善等。此易造成合并仲裁决定对仲裁当事人缺乏约束力,进而导致当事人浪费司法资源。通过对域外仲裁法和各仲裁机构仲裁规则中关于合并仲裁规定的比较,结合我国实践经验与现实需求,未来需在仲裁法中就合意的合并仲裁、限制强制合并仲裁的条件以及合并仲裁程序等问题作出明确规定。
At present,there are 12 arbitration institutions in China's Mainland that have stipulated merger arbitration,and there are also many judicial practices.However,there are no relevant provisions on consolidated arbitration in national legislation,and there are great differences in the provisions on consolidated arbitration among arbitration rules,such as the key concepts are not clear,the relevant procedures are not perfect,etc.This will easily lead to the lack of binding force on the parties to the arbitration,and then lead to the waste of judicial resources.By comparing the provisions of merger arbitration in the foreign arbitration law and the arbitration rules of various arbitration institutions,combined with China’s practical experience and practical needs,it is necessary to make clear provisions on the agreed merger arbitration,the conditions of restricting compulsory merger arbitration and the merger arbitration procedure in the arbitration law in the future.
