党的领导与民营企业法人治理的有机统一

On the organic integration of the Party’s leadership and the corporate governance of private enterprises

党的领导是中国特色现代民营企业治理制度的重要内容。因此,探究党的领导与民营企业法人治理的有机统一具有理论和现实意义。深入推进党组织与民营企业治理有机统一,建立完善的民营企业法人治理结构,其价值定位展现在确保民营企业法人人格独立、化解治理中的“代理问题”以及推进治理结构的转型升级3个方面。如何转变传统的治理模式,构建新型的“一委两元双层制”治理结构,需要从强化民营企业治理中党建工作的法治根基、提升党建工作机制的适应性、保障党组织领导功能的实效发挥几方面加以建构,推动我国新时期民营经济的深化发展。

Party leadership is an important part of the modern private enterprise governance system with Chinese characteristics.However,the governance reform of private enterprises is still facing problems such as insufficient attention to party building work,weak adaptability of party building work mechanisms,and vacant party organizations in enterprises.Therefore,it is of theoretical and practical significance to explore the organic integration of party leadership and private enterprise corporate governance structure.The country makes the policy to deeply promote the organic unification mechanism of party organizations into corporate governance,and establish a sound corporate governance structure of private enterprises.Its value proposition is shown in three aspects:ensuring the independence of private corporate legal personality,resolving the“agent problem”in governance,and promoting the transformation and upgrading of governance structure.How to transform the traditional governance model to build a new type of governance structure of“one committee,board of directors and board of supervisors and two layers”,it requires strengthening the legal foundation of party building work in the governance of private enterprises,improving the adaptability of party building work mechanisms,and ensuring the effectiveness of the party organization’s leadership function,so as to promote the deepening development of our country’s private economy in the new era.
