摘要
完善现代企业制度,健全公司法人治理结构,是当前国有企业改革的重要任务。随着国企体制改革的不断深入,中央企业二级子公司在其发展战略的指引下向着市场化改革的方向持续迈进,业务发展态势呈现差异化趋势,出资主体向着多元化发展,这对公司现有的治理结构提出了诸多挑战。本文对中央企业二级子公司治理结构改革实际困境进行深入分析,通过调研三家可比性高的大型国有企业,学习成功经验与创新做法,对中央企业二级子公司治理机构改革提出新构思与新路径,以现代公司法人治理制度优势,激发企业高质量发展动力,助力企业持续健康发展。
Improving the modern enterprise system and perfecting the corporate governance structure of the company is an important task of the current state-owned enterprise reform. With the continuous deepening of the reform of the state-owned enterprise system, the secondary subsidiaries of state-owned key enterprises continue to move towards the direction of market-oriented reform under the guidance of its development strategy. The business development trend shows a trend of differentiation, and the main body of capital is diversified. The governance structure of China presents many challenges. This paper conducts an in-depth analysis of the actual difficulties in the reform of the governance structure of the secondary subsidiaries of stateowned key enterprises. By investigating three large-scale state-owned enterprises with high comparability,learning successful experience and innovative practices, it puts forward new ideas and suggestions for the reform of the governance structure of the secondary subsidiaries of state-owned key enterprises. The new path, with the advantages of the modern corporate governance system, stimulates the company’s high-quality development momentum, and helps the company’s sustainable and healthy development.
