摘要
电子商务格式合同区别于传统的格式合同,具有广泛性、虚拟性等特点。在我国现行法律体系中,并没有专门的法律对电子商务格式合同予以规制,因此只能参照适用一般性规定或其他法律原则。然而,电子商务格式合同存在着成立要件模糊、订入规则不明和效力判断规则混乱等问题,对蓬勃发展的电商经济造成了一定阻碍,亟需相关规则予以规制。本文围绕订立主体、经营者的提示义务以及合同效力等问题进行深入剖析,明确界定相关概念,对电子商务格式合同发展过程中存在的问题提出针对性的建议和对策,以期实现电子商务长期稳定的发展。
Electronic commerce standard contract is different from the traditional standard contract,which has the characteristics of universality and virtuality.In the current legal system of our country,there is no special law to regulate the format contract of e-commerce,so we can only refer to the general provisions or other legal principles.However,e-commerce format contracts have problems such as vague establishment requirements,unclear rules and confusion of validity judgment rules,which have caused some obstacles to the booming e-commerce economy and are in urgent need of regulation by relevant rules.This paper focuses on the subject of the conclusion,the operators of the obligation of presentation and contract effectiveness and other issues,carries out an in-depth analysis,clearly define the relevant concepts,and put forward targeted suggestions and countermeasures for the problems existing in the process of the development of e-commerce format contract,in order to achieve a long-term and stable development of e-commerce.
