企业参与“一带一路”境外投资的法律保障研究

Legal Protection of Enterprises Participating in“One Belt One Road”Overseas Investment

“一带一路”倡议提出后,大量企业参与“一带一路”建设,进行境外投资。但是,“一带一路”沿线国家法治水平参差不齐,政治、经济、法律制度及文化习俗、宗教信仰等相差极大,为我国企业“走出去”带来了风险。分析典型案例、类型化风险,研究国际国内相关法律规则,为企业提供保障。拟提出如下建议:政府层面,应继续积极参与国际规则的制定与完善,推进国际治理与国际法治,视情况参与企业境外谈判,提供政治支持,推进国内法与国际法的衔接;企业层面,制定全球化管理策略、本土化战略,建立合规体系,重视项目前期调查,合理规避风险。

After the “Belt and Road”initiative was put forward,a large number of Chinese enterprises participated in the construction of the 44 Belt and RoadM and made overseas investment.However,the level of rule of law in the countries along the“Belt and Road”is uneven,and the political,economic,legal systems,cultural customs,and religious beliefs vary greatly,which brings risks to Chinese enterprises to go global.We analyzed sand studied relevant international and domestic laws and regulations to provide protection for enterprises.At the government level,it should continue to actively participate in the formulation and improvement of international rules to promote international governance and the rule of law.It should participate in overseas negotiations to promote the convergence of domestic and international laws.At the enterprise level,global management strategies and localization strategies should be made to establish a compliance system.We should attach importance to preliminary project investigations,and reasonably avoid risks.
