大学生虽处在"大众创业"的中国创时代,但当前大学生开公司创业现状不容乐观,大学生创业者多缺乏创业法律风险意识。其中,对于公司初创阶段的股权设置法律风险更是缺乏关注与认知。在公司设立阶段对股权结构设置不合理,就会出现不利于公司发展的外部投资人股权过大、公司僵局等问题。为此,需要明确设立公司中股权设置的具体法律风险,并从企业自身层面提出应对机制,规避法律风险。

Although college students are in the era of"mass entrepreneurship"in China,the current situation of college students starting businesses is not optimistic,and most college students lack the awareness of legal risk.Among them,there is a lack of attention and cognition on the legal risk of equity setting in the initial stage of the company.In the establishment stage of the company,if the equity structure is not set up reasonably,there will be problems such as excessive equity of external investors and company deadlock,which are not conducive to the development of the company.Therefore,it need to clarify the specific legal risks of equity setting in the establishment of the company,and put forward the response mechanism from the enterprise’s own level to avoid legal risks.
