论民营企业刑事合规的体系化建构

On the Construction of Criminal Compliance System of Private Enterprises

全球化正推动刑事合规的浪潮远渡重洋,在中国的法律制度河流中奔涌喧嚣。然而,目前,理论界对于刑事合规的内涵定位不明,对于民营企业建设刑事合规的正当性基础分析不够。溯本求源,刑事合规是国家与民营企业的合作共赢新模式的探索,民营企业引入刑事合规顺应了党和政府的号召;民营企业面临的刑事法律风险远高于国有企业,刑事合规是民营企业可持续发展的新动力;刑事合规契合了积极的一般预防理念,完善了单位犯罪的刑事归责,是现代刑法理论应运而生的新概念。由此,着力建构本土化、体系化的民营企业刑事合规恰逢其时,需要民营企业构建有效的刑事合规治理体系,理论学界完善刑事合规本土化配套制度,司法机关推进合规不起诉制度的试点指导。

Globalization is pushing the tide of criminal compliance across the ocean,surging in China’s legal system.However,at present,the academic community is still not clear about the connotation of criminal compliance,and the legitimacy of constructing criminal compliance on the part of private enterprises is not enough.Tracing to the origin,criminal compliance is the exploration of a new win-win mode of cooperation between the state and private enterprises.The introduction of criminal compliance by private enterprises conforms to the call of the Party and the government.The criminal legal risk faced by private enterprises is far higher than that of state-owned enterprises,and criminal compliance is the new driving force for the sustainable development of private enterprises.Criminal compliance conforms to the positive general prevention concept,and improves the criminal law of unit crime.Imputation is a new concept of modern criminal law theory.Therefore,it is the right time to focus on the construction of localized and systematic criminal compliance of private enterprises,which requires private enterprises to build an effective criminal compliance governance system,theorists in the academic community to improve the supporting system of criminal compliance localization,and judicial organs to promote the pilot guidance of compliance and non-prosecution system.
