基于市值管理角度分析上市公司董事会秘书的职责和价值

Analysis of the Responsibilities and Value of the Board Secretary of a Listed Company from the Perspective of Market Value Management

当前,世界各国董事会秘书制度呈现出蓬勃发展的态势。由于我国新《公司法》对董事会秘书的法律地位也进行了明确,但并没有作出具体规定,因而人们对董事会秘书制度的重要价值认识不足。而这样会导致企业管理能力出现大幅度衰弱,不仅无法对运营风险进行有效管理,同时还会对企业自身的经济效益产生不利。正因为如此,本文从内部治理和外部治理两个方面对我国上市公司建立董事会秘书制度的价值进行了全面论述,以此为基础进行有关上市公司董事会秘书的职责与价值的探讨和研究,从市值管理的角度出发,对如何提高企业的核心竞争力与综合管理水平进行相应的分析。

At present,the board secretary system of various countries in the world is showing a trend of vigorous development.Although China's new"Company Law"clarifies the legal status of the board secretary,but does not make specific provisions,people have insufficient understanding of the important value of the board secretary system.This will lead to a substantial weakening of the company's management capabilities,not only failing to effectively manage operational risks,but also adversely affecting the company's own economic benefits.Because of this,this article comprehensively discusses the value of China's listed company's establishment of a board secretary system from both internal governance and external governance.On this basis,it conducts discussion and research on the responsibilities and value of the board secretary of listed companies.In addition,from the perspective of market value management,we will analyze how to improve the core competitiveness and comprehensive management level of the enterprise.
