摘要
传统的公司集团法律规制并未充分考虑公司集团治理的特殊性,导致相关的权利救济举措在适用时会面临一定困境。关注责任角度的事后控制、给予相关主体可行的责任追究机制,是回应公司集团权利救济需求的关键。一方面,对于控制公司等形成的侵害行为,可以因为适用了责任角度的事后规制而获得认可。另一方面,在为相关主体提供权利救济的同时,这种规制模式契合了公司集团治理的实践,有助于避免相关权利的恣意扩大,亦意味着法律制度选择了以尽量克制的方式调整公司集团的内部治理,继而在权利救济与公司集团治理弹性之间获得平衡。
Traditional corporate group regulations do not fully consider the particularity of corporate group governance,which leads to difficulties in the application of relevant right relief rules.The key in response to the right relief needs of the corporate group lies in giving close attention to the post-regulation from the perspective of liability and providing relevant subjects with a feasible accountability mechanism.On the one hand,the controlling company and other possible violations can be recognized by applying post-regulation from the perspective of liability.On the other hand,this mode conforms to the practice of corporate group governance and can provide rights relief for relevant subjects.In addition,it can avoid the arbitrary expansion of right,which also means that the legal system has chosen to adjust the internal governance of the company group in a restrained way.On this basis,the balance between right relief and corporate group governance flexibility is realized.
