We proved that for a meromorphic fuction f,if E(a,f')=E(a,f)and N(r,f)=S(r,f)and zero of f of multiplicity at least 2,where a is a nonzero constant,then f assumes the form f(z)=be^(z),where b is a nonzero constant.
