摘要
基于大型煤炭企业集团管控过程中存在的法人人格混同问题,论述集团管控和公司独立性相关理论,阐述集团管控与法人人格混同之间的关系,分析法人人格混同在大型煤炭集团存在的主要形式和形成原因。提出了解决大型煤炭企业集团避免法人人格混同问题的主要工作思路,帮助大型煤炭企业集团科学合理制定管控策略,避免法人人格混同带来的不利影响。
Based on the confusion of corporate personality in the management and control process of large coal enterprise groups, this article elaborates on the related theories of group management and company independence, deductive analysis demonstrates the relationship between group management and corporate personality confusion, and elaborates on legal persons. The main forms and causes of personality confusion in large coal groups are analyzed and summarized. Summarized and put forward the main working ideas to solve the problem of large-scale coal enterprise groups to avoid the problem of mixed corporate personality, and help large coal enterprise groups scientific Reasonably formulate management and control strategies to avoid the adverse effects of mixed personality of legal persons.
