摘要
中老磨万铁路作为我国“一带一路”倡议早期收获的特许经营项目,既是“G2G政府塔台,企业唱戏”的典型代表,也是开展“共商、共建、共享”的示范项目。本文通过对特许经营项目股东构成、技术方案及标准、技术和商务谈判、经济评价、法务等条款的分析研究,梳理了该项目CA协议谈判的重点和应注意的问题,提出了开展境外铁路特许经营的研究方向和具体措施。本文通过对特许经营项目股东构成、技术方案及标准、技术和商务谈判、经济评价、法务等条款的分析研究,梳理了该项目CA协议谈判的重点和应注意的问题,提出了开展境外铁路特许经营的研究方向和具体措施。
As a concessionary project in the early stage of the"Belt and Road"initiative,the Sino-Laos Boton-Vientiane Railway is a typical representative of"G2G Government Support and Service to the Enterprise",and also a benchmark project of"Extensive Consultation.Through the analysis and Research on the shareholder composition,technical scheme and standard,technical and commercial negotiation,economic evaluation and legal affairs of the franchise project,this paper combs the key points and problems needing attention in the CA agreement negotiation of the project,and puts forward the research direction and specific measures for carrying out overseas railway franchise.
