基于逻辑梳理的CISG货物相符规则研究

Research on CISG Goods Conformity Rules Based on Logic Carding

目前,CISG的货物相符规则虽初成体系,但因GISG将其定性为“补缺性解决方案”,导致其有关条文内容过于宽泛和简洁,加之缺乏权威机构的解释,致使这些规则在得到广泛应用的同时,也产生了较大的争议。特别是在货物相符的判断标准、判断时间、责任免除、举证责任等诸问题上,CISG的规定不甚透明且不易理解。本文研究认为,虽然CISG采取“法规判例法报告”的方式能够在一定程度上缓解适用中的迫切需要,但制定明确、具体的游戏规则以尽可能的减少贸易纠纷是CISG的重要使命,尤其是进一步完善与澄清与“货物相符”问题有关的规则,是CISG未来应重点考虑的工作之一。

At present,although goods conformity rules of CISG have initially established,due to the fact that GISG qualifies them as a“filling solution”,resulting in its relevant provisions too broad and concise and the lack of interpretation by an authoritative organization.While being widely used,they have generated great controversy.In particular,with regard to issues such as the judgment standard,time of judgment,exemption of liability,and burden of proof,the regulations of CISG are not very transparent and tend to be ambiguous.It’s believed in this article that although CISG adopts the“CLOUT”approach to alleviate the urgent need for application to a certain extent,it is the important mission of CISG to formulate clear and specific game rules to minimize trade disputes,especially to further improve and clarify the rules related to the issue of“goods conformity”,which is one of the priorities that CISG should focus on in the future.
