检察试点语境下企业合规制度的构建

On the Construction of Enterprise Compliance System in the Context of the Procuratorial Pilot Program

企业合规是检察机关助推国家治理体系和治理能力现代化的履职创新举措,是贯彻落实企业犯罪治理司法政策的"后半篇文章",有利于促进法律监督现代化发展。基于公共利益代表的职能定位和企业合规目标追求,由检察机关主导推动企业合规治理具有合理性。当前企业合规试点探索中面临必要性、有效性和体系性问题,需要厘清刑事实体与程序激励、司法审查与第三方监管以及"四大检察"职能之间的逻辑关系,进而对企业合规制度进行本土化改造。

Enterprise compliance is an innovative measure for procuratorial organs to promote the modernization of national governance systems and governance capacity.It is the"second half"of the chapter for the implementation of the judicial policy of enterprise crime governance,which is conducive to promoting the modernization of legal supervision.Considering the function of the procuratorial organs which is to represent public interests,and the pursuit of the goal of enterprise compliance,it seems reasonable that the procuratorial organs lead the enterprise compliance governance.At present,the enterprise compliance pilot program is faced with problems concerning necessity,effectiveness and systematicness.Therefore,it is necessary to clarify the logical relationship among criminal entity and procedural incentive,judicial review and third-party supervision,as well as the"four procuratorial functions",so as to carry out the localization transformation of the enterprise compliance system.
