国际商会制定的《国际贸易术语解释通则》在国际贸易中发挥着重要的作用,它显著地提高了交易效率。然而,国际贸易术语并未覆及买卖合同中的所有问题,所以它无法取代买卖合同。在实践中,买卖双方会基于自身的利益,依据多方面的因素对国际贸易术语作出选择。FOB是最常用的国际贸易术语之一。《2020版国际贸易术语解释通则》针对该术语下的买卖双方义务作出了详细的规定。但是,FOB术语的使用依然引发了不少争议。当事人应加强对国际贸易术语的了解,以便在实践中作出理性和合理的选择。

“International Rules for the Interpretation of Trade Terms”formulated by the International Chamber of Commerce plays an important role in improving the efficiency of international trade.However,the rules do not cover all the issues involved in transaction contracts,and hence they cannot serve as transaction contracts.In practice,based on self-interest,either party in a deal could choose international trade terms based on its own multiple factors,of which FOB is a most frequently-used term.International Rules for the Interpretation of Trade Terms(2020)specifies the detailed duties for both parties under the framework of FOB.Still,controversies remain as to the employment of the term.It is argued that the clients should understand international trade terms and make rational,reasonable choices in practice.
