摘要
目前,各国会计准则制定机构正在重新审视商誉的会计处理方法。基于这一背景,本文从自创商誉对并购商誉减值的"缓冲"效应出发,探讨年度减值测试法存在的问题。在通过构建理论模型来阐释自创商誉"缓冲"效应形成机理的基础上,本文以供应商关系管理为研究情境进行实证检验。实证结果表明,集中的供应商体系所产生的高自创商誉显著地降低了公司的商誉减值风险,并且这一作用在法制环境较差地区、制造业中以及公司市场势力较强时更加明显,支持"缓冲"效应假说。本文的研究结论为讨论商誉会计问题提供了重要的经验证据。
Accounting standard-setting agencies in the worldwide are re-considering the accounting treatment for goodwill. In such a context, this paper investigates the problems embedded in annual impairment test approach by discussing the "shielding" effect of internally generated goodwill against the impairment of acquired goodwill. We first explain the mechanisms of the "shielding" effect of internally generated goodwill using a simple model. Then, we conduct empirical tests to verify the "shielding" effect in the context of supplier relationship management. The results show that high internal goodwill generated by concentrated supplier system significantly reduces the impairment risk of acquired goodwill. This effect is more pronounced in regions with weak legal environments, in manufacturing firms, and when firms’ market power is high. These results support the "shielding" effect hypothesis. The findings in this study provide valuable empirical evidence for discussing goodwill accounting.
