对海外油气业务授权管理的思考与建议——以厄瓜多尔安第斯项目为例

Thinking and suggestions on authorization management of overseas oil and gas business——A case study of the Andes oil project in Ecuador

以厄瓜多尔安第斯项目为例,从授权对象、授权事项、授权额度等方面对比分析安第斯合资公司合资审批权限矩阵——审批矩阵授权管理与中方内部有限授权管理体系的异同点。审批矩阵授权是基于石油合同和联合作业协议而制定的一套较为完善的分级授权及批准体系;中方有限授权是基于海外项目合同模式、合资经营协议以及中方内部政策法规建立的内部授权管理体系。两种授权体系相结合的管理方式,既满足了国际油气合作项目运营与管理的需要,也实现了对海外油气项目的有效管控。建议海外油气项目的授权管理应与业绩考核相结合,被授权人根据承担的主要职责确定相应权限,体现责权对等;授权管理要与中方内部审查相结合;中方内部有限授权应扩大授权层级;建立统一的授权标准体系。

Taking the Andes oil project in Ecuador as an example,this paper compares and analyzes the similarities and differences between AM authorization management and internal limited authorization management system of Chinese oil companies from the aspects of authorized person,authorized items,and authorization amount.AM authorization is a relatively perfect hierarchical authorization and approval system based on petroleum contracts and joint venture agreements.Internal limited authorization management system of Chinese oil companies is an interior structure system based on overseas project contract patterns,joint venture agreements,and internal policies and regulations.The combination of two authorization systems not only meets the needs of the operation and management of international oil and gas cooperation projects,but also realizes the effective control of overseas oil and gas projects.It is suggested that the authorization management of overseas oil and gas projects should be combined with performance assessment,and the authorized person should determine the corresponding authority according to the main responsibilities to reflect the equality of responsibilities and rights.Authorization management should be combined with internal reviews,and internal limited authorization should expand the level of authorization.A unified authorization standard system is also suggested to be established.
