我国《民法典》第四百一十六条在动产担保权“先登记者优先”规则之外引入了赋予购买价金担保权的超级优先顺位规则,体现了鼓励融资的价值导向。这一规则有着对抗其他在先登记的担保物权的特殊优先地位,但除了在成立要件上受到严格约束外,其优先效力也受到留置权等的制约,在实践中更应当注重平衡购买价金担保权人与担保人的利益。

Article 416 of“Civil Code of the People's Republic of China”stipulates a super priority rule that grants security rights in the purchase price of chattels in addition to the"first to register first"rule of movable property security rights,which reflects the value orientation of encouraging financing.This rule has a special priority against other previously registered security real rights,but in addition to strict constraints on the establishment requirements,its priority is also restricted by liens,etc.In practice,more attention should be paid to balancing the interests of the security right holder and the guarantor.
