《民法典》背景下商法规范的创设路径

我国《民法典》实质上已经规定了《商法通则》的主要内容,特别是《民法典》的总则编客观上具备了“商法总则”的功能。当前我国民商立法存在“商法过度”与“商法不足”的弊端。“民法的商法化”“民商合一、合而不同”等现代私法的理念和技术应当被我国民商事立法者与民商事裁判者加以借鉴和发扬。我国商事立法的核心问题是商事一般条款的完善,我国应当通过“商法的方法”创设我国特有的商法规范。

In essence,the Civil Code has stipulated the main contents of the General Principles of the Commercial Law,especially the general provisions of the Civil Code,which objectively play the function of the“The General Provisions of the Commercial Law”.At present,there exist the deficiencies of both excessive and insufficient commercial legislation in Chinese civil and commercial legislation.The concepts and technologies of modern private laws such as“commercial trend of civil law”and“combination of civil and commerce codes,harmony but not sameness”should be borrowed and carried forward by China’s civil and commercial legislators and civil and commercial judges.The core problem of commercial legislation in China’s commercial legislation is the improvement of the general commercial provisions.China should create our unique commercial law norms through the“method of commercial law”.
