商业银行公司治理对风险水平影响实证研究

An Empirical Study on the Impact of Commercial Bank Corporate Governance on Risk Level

近年来因公司治理系统不完善而导致的商业银行风险事件频发,商业银行公司治理的重要性逐渐凸显。采用固定效应和混合回归模型,从股权结构、董事会、高管激励三个角度,探究我国上市银行公司治理对其风险水平的影响效果。实证结果表明:股权集中度、董事会规模、高管薪酬、管理层持股对商业银行风险具有正向影响,有助于降低商业银行风险水平;最大股东股权性质为国有的情况下,商业银行风险水平较其他股权性质更低;独立董事占比对商业银行风险具有负向影响,占比越大风险水平越高。因此,商业银行应进一步建立健全公司治理和风险管理机制,以更好适应内外部环境变化,实现可持续高质量发展。

The importance of corporate governance of commercial banks has gradually become prominent in that risk events from commercial banks have occurred frequently due to imperfect corporate governance systems in recent years. This article used a fixed-effect model and mixed regression model to explore the impact of corporate governance of listed banks on their risk levels from the perspectives of equity structure, board of directors, and executive incentives. The empirical results show that the concentration of equity, the size of the board of directors, executive compensation, and the shareholding of the management have a positive impact on the risk of commercial banks, which helps to reduce the risk level of commercial banks. Besides, when the largest shareholder’s equity is state-owned, the risk of commercial banks is lower than the others;the proportion of independent directors has a negative impact on the risks of commercial banks, and the greater the proportion, the higher the risk level. Therefore, all commercial banks should further establish and improve corporate governance and risk management mechanisms to better adapt to changes in internal and external environments and achieve sustainable and high-quality development.
