摘要
对赌协议在电商代运营中已得到广泛应用。本文先分析电商代运营中的对赌与一般意义上的对赌之间的差别,然后通过不同的对赌案例,探索对赌协议中“双赢”“一赢一输”“双输”现象,最后总结电商代运营中签订对赌协议可能存在的风险与机会。
Valuation Adjustment Mechanism(VAM)has been widely used in the e-commerce third partner.This study first analyzes the difference between the VAM in the e-commerce third partner and the general concept of VAM;and then through different cases of VAM,it explores the phenomena of“win-win”,“win-lose”and“lose-lose”in the VAM.Finally,it sums up the possible risks and opportunities of signing a VAM in the e-commerce third partner.
