工程总承包模式下设计单位的法律风险扩张研究

Research on the Expansion of Legal Risk for the Design Enterprise under the General Contracting Model

为检验工程总承包模式下设计单位作为联合体成员相较DBB模式下的法律风险扩张,研究Alpha案例库中筛选所得的30篇裁判案例,得出实际施工人、分包工程承包人等项目参与方诉讼行为对于设计单位法律风险的扩张具有正向影响;在此基础上,提出设计单位以紧密型联合体形式参与工程总承包项目时的法律风险防控建议,即重点关注与联合体成员有直接合同关系的参与方风险,并重点关注联合体协议的签署、施工管理、文档与证据管理等,从而在后期可能的争议中减少损失的发生。

This paper tries to examine whether the legal risk for the design enterprise as a consortium member under EPC mode would be different from what is under DBB mode.By studying the 30 cases from the search results produced by Alpha,this paper finds that the litigations of the actual constructor and other subcontractors and project parties have a positive effect on the expansion of the legal risks for the design enterprise.This paper further concludes that the design enterprise,when participating in EPC project in the form of a close consortium,should pay more attention to the legal risk of the participants who directly contracted with the consortium members.At the same time,the design enterprise should also focus on the signing of consortium agreement,construction management and the management of documents and evidences,so as to control the loss in the possible subsequent disputes.
