新《公司法》在结合现代企业发展需要与实践经验的基础上,借鉴国外先进的公司治理手段,兼顾各利益主体的合法权益,健全了股东保护机制,完善了公司治理结构。从公司治理的角度出发,分析新《公司法》的立法背景及我国公司治理存在的问题,探讨新《公司法》对完善公司治理的作用。

Borrowed from foreign advanced corporate governance methods,in combination with modern enterprises,and taking into account the legitimate rights and interests of all interest,the new Company Law improved shareholder protection mechanism,and improved the company’s governance structure.From the perspective of corporate governance,the legislative background of the new Company Law and the problems of China’s corporate governance are analyzed,and the role of new Company Law to improve corporate governance is explored.
