公司章程视域下国有企业防范投资风险的方向与路径选择

Direction and Route Selection of Preventing Investment Risk of State-owned Enterprises from the Perspective of Articles of Association

公司章程作为公司运营的基础性文件,对公司发展有着重要意义,公司章程对公司股东、董、监、高均有规制的意蕴。作为公司自治的完全意思表示与《公司法》一样,共同肩负规范公司的组织和行为责任。在目前的国有企业对外投资过程中,一部分企业的公司章程却未能发挥其应有效用。文章在立足于案例分析的基础上,以公司章程为视角,总结了公司章程未能体现国有企业特性、职权机构权责模糊、章程缺乏法律风险防范条款等实践困境,提出符合自身特性的公司章程、明确股东会和董事会的职权配置、构建完备的投资风险管理机制的应对策略,以其能助力国有企业投资风险的降低,加快构建现代企业制度。

The Articles of Association, as the signif icant basic document for company operation, has regulatory implications for the company’s shareholders, directors, supervisors, and senior executives. It undertakes the responsibility of regulating the organization and behavior of the company together with “the Company Law” as the full expression of company autonomy. However, in the current external investment process of state-owned enterprises, the Articles of Association of some enterprises have failed to play their due effect. Based on case analysis, the paper summarizes the practical dilemmas of the Articles of Association, such as failing to reflect the characteristics of state-owned enterprises, authority’s ambiguity of powers and responsibilities, and lack of legal risk prevention clauses. It proposes to constitute the company’s Articles of Association in line with its own characteristics, clarify the functions and powers of shareholders’ meeting and the board of directors, and build a comprehensive investment risk management mechanism, so as to reduce the investment risk of state-owned enterprises and speed up the construction of modern enterprise system.
