管网重组改革的创新实践和经验启示——以中国石化天然气公司为例

Innovative Practice and Enlightenment of Pipe Network Reorganization Reform:Taking Sinopec Natural Gas Company as an Example

2020年,国家石油天然气管网集团和三大石油公司通过市场化方式整合相关管道资产,初步形成了“X+1+X”油气市场运营机制和“全国一张网”新格局,大幅提高了产业集中度和油气资源配置效率,有效保障了我国油气能源安全稳定供应。相关资产于2020年9月30日按期完成交割,实现了管网运营划转业务、资产、人员的有序衔接和平稳过渡。在此次重组改革中,中国石化天然气公司(以下简称“天然气公司”)管道相关资产是本次交易中规模最大且结构最复杂的部分,涉及面广、资产规模大、企业类型复杂。本文以天然气公司相关管道资产重组改革为研究对象,介绍了本次管网改革的背景、目标以及天然气公司的基本情况,分析了天然气公司管网重组改革的总体思路、重点工作和取得的成效,并对本次重组改革取得的经验进行了提炼和总结,希望能对其他企业并购重组提供一定的借鉴和启示。

In 2020,the National Petroleum and natural gas pipeline network group and the three major oil companies integrated relevant pipeline assets through marketization,initially formed the"X+1+X"oil and gas market operation mechanism and the new pattern of"national one network",greatly improved the industrial concentration and the efficiency of oil and gas resource allocation,and effectively guaranteed the safe and stable supply of oil and gas energy in China.The delivery of relevant assets was completed on schedule on September 30,2020,realizing the orderly connection and smooth transition of pipe network operation transfer including the transfer in both business,assets and personnel.In this restructuring and reform,the pipeline related assets of Sinopec natural gas company(hereinafter referred to as"natural gas company")are the largest and most complex part of this transaction,involving a wide range,large asset scale and complex enterprise types.Taking the reorganization reform of pipeline assets related to the Natural Gas company as the research object,this paper introduces the background,objectives and basic situation of the pipeline network reform,analyzes the overall idea,key work and achievements of the pipeline network reorganization reform,refines and summarizes the experiences,and hopes to provide some reference for the M&A of other enterprises.
