利用情势变更原则对合同变更的探讨——以港珠澳大桥岛隧工程设计施工总承包合同为例

设计施工总承包的D-B模式或设计采购施工/交钥匙总承包的EPC模式,是目前国际工程承发包中普遍采用的一种新型模式。随着国民经济发展、科学技术和管理水平的不断进步以及工程建设市场全球化进程加快,这种新型总承包模式日益成为建筑市场走向专业化、国际化的必然趋势。文章以港珠澳大桥主体工程岛隧工程设计施工总承包工程项目为实际案例,介绍与分析承包人如何抓住和利用“情势变更”原则来实现总承包模式下合同的变更,并达到化解主要显失公平的风险及寻找索赔空间和理据的目的。

The D-B mode of design construction contract or EPC mode of design procurement construction/lump sum turn key is a new pattern popularly used for tendering in the international market at the present.Along with the development of national economy,the continuous progress of science technology and management level and the acceleration of the globalization of engineering construction market,such a new pattern has become the tendency of professionalization and internationalization on the construction market.Taking the design construction contract project of Hongkong-Zhuhai-Macao Bridge island&tunnel project as an actual case,this paper introduces and analyzes how the contractor grasps and uses the principle of"change of circumstances"to realize the modification of contract under the general contract mode,so as to resolve the main unfair risks and seek for the claim space and rationale.
