摘要
通过对比东北制药混改前后公司内部治理结构,分析其公司内部治理结构改进情况。研究发现,混改后东北制药公司内部治理结构改进主要表现在三个方面:股权结构更加多元化,董事会成员构成更加合理化,高层员工激励得到改善。但是混改后,其公司内部治理结构还存在一些不足:普通员工缺乏激励措施;新选举的董事会成员缺乏经验。基于此,针对其不足之处提出相关建议。
This paper compares the internal corporate governance of Northeast Pharmaceutical Group Co., Ltd.,before and after the introduction of private capital to state-owned enterprises during the mixed-ownership reform period, and finds that the internal corporate governance structure has been improved to a great extent, mainly in the following three aspects:The ownership structure is more diversified;The composition of the board of directors is more reasonable;The incentive of senior staff has been improved.However, it also has shortcomings: The lack of incentive measures for ordinary employees;Newly elected board members lack experience. Finally, this paper puts forward some suggestions for its shortcomings.
