电子商务经营者登记豁免制度的反思与重构

Reflection and Reconstruction on the Exemption System of Registration of E-commerce Businesses

《电子商务法》第10条规定了电子商务经营者登记豁免制度,但由于电子商务活动的虚拟性和远程性,造成市场主体登记的信息披露功能缺失,既无法实现消费者知情权,也不能保证市场主体登记的公信效力。为了实现替代功能,该法第27条规定了电子商务平台经营者的核验、登记义务,但未能实现弥补信息披露功能的制度设想。要解决实践困境,既可以选择信息披露,提高信息公示标准,注意公示的显著性、通俗易懂性和全面性,以保护消费者;也可以回归登记,采用委托登记方式,通过实质审查,实现公示信息真实。两者殊途同归,由登记豁免主体任意选择,配合电子商务平台经营者的协助义务,构建高水平的电子商务平台信息公示体系。

Article 10 of the“E-commerce Law”stipulates the exemption system registration of e-commerce businesses.But due to the virtual and remote nature of e-commerce activities,the information disclosure function of the registration of market entities is lacking.The exemption system is impossible to realize the consumer’s right to know,nor can it guarantee the credibility of the registration of market entities.In order to realize the replacement function,Article 27 of the law stipulates the verification and registration obligations of the e-commerce platform businesses.But it fails to realize the system vision of supplementing the information disclosure function.To solve the practical dilemma,we can either choose to disclose information,improve the standard of information disclosure,pay attention to the distinctiveness,and ease of understanding and comprehensiveness of disclosure to protect consumers.We can also return to registration,adopt the method of entrusted registration,and realize the authenticity of the public information through substantive examination.The two have the same goal in different ways,and the registration exemption subject can choose arbitrarily.Cooperating with the assistance obligation of the e-commerce platform businesses,a high-level e-commerce platform information publicity system will be built.
